1. Important Notice
- You agree to provide Vexor with true and correct information to render service to you and grant Vexor permission to process your personal information.
- You acknowledge that these terms may change, and you agree to check regularly for updates.
- Failure to settle outstanding amounts on your Vexor account will result in account suspension.
- Acceptance of terms for any given service is not applicable to other services.
- You limit Vexor’s liability and indemnify Vexor for various acts or omissions.
2. Definitions
- Vexor refers to Digital Orbit (Pty) Ltd or any other entity to which Digital Orbit (Pty) Ltd assigns, cedes, or delegates its rights or obligations.
- Client refers to the party described as such on any application or service executed with Vexor.
- Domain refers to an internet subdomain registered with an authorized registrar, including its domain name server records.
- Supplier means a provider of goods and/or services to Vexor.
3. Client Obligations
- The client confirms that all information provided is true and correct. Vexor reserves the right to request further verification.
- Identity verification may be required at any time. Failure to provide verification may result in account suspension or service cancellation.
- Vexor defines acceptable use of its platform and reserves the right to suspend or terminate accounts that abuse the platform.
- Vexor may remove any illegal, offensive, or non-compliant content hosted by clients.
- Clients must immediately and adequately respond to a denial-of-service attack (DOS/DDOS). If the client’s facilities are targeted by a DOS attack that affects other network users, the client’s service will be suspended.
4. Availability of Services
- Vexor cannot guarantee service availability upon receipt of an application.
- Vexor is not liable for downtime due to factors beyond its control.
- Vexor is not responsible for downtime caused by client misconfiguration, deletion, or corruption of files.
- Vexor may terminate any service offering deemed unacceptable.
5. Payment for Services
- Vexor is not liable for service delays due to non-approved payment methods.
- Service suspension/termination due to non-payment is the client’s responsibility.
- Vexor accepts payments via PayFast and does not accept EFT/Bank transfers.
- Card details used for Payfast payments are stored securely and billed automatically unless removed upon request.
6. Term and Termination
- Services operate on a month-to-month contract basis.
- Clients can terminate services via the Vexor client area or by emailing support@vexor.co.za.
- Clients must ensure proper termination procedures; incorrect cancellation processes will not result in refunds.
7. Client Information and Privacy
- The primary contact signing up for services is the sole authorized account holder.
- Vexor adheres to the Protection of Personal Information Act (POPIA) of 2013.
8. Security
- Vexor implements industry-standard security measures but does not guarantee immunity from breaches.
- Clients must ensure no malicious software runs on the Vexor platform.
- Disaster recovery measures are in place, but Vexor does not guarantee full restoration.
- The client consents to give Vexor full permission to investigate their account in the event of a security compromise.
9. Domain Registration and Management
- Vexor registers domains through authorized registrars.
- Clients are bound by the relevant domain name space terms.
- Vexor is not liable for domain registration delays or auto-renewed unwanted domains.
- Clients are responsible for ensuring domain renewal settings are correctly configured.
- Vexor will not refund incorrectly spelled domain registrations or unwanted auto-renewed domains.
10. Domain Transfers
- Clients requesting domain transfers must have proper authorization.
- Vexor is indemnified from disputes over domain ownership claims.
11. Hosting Services
- Vexor reserves the right to refuse hosting certain websites or registering certain domains.
- Clients must ensure compliance with Vexor’s Acceptable Use Policy.
- Vexor reserves the right to charge for excessive traffic or resource use.
- Vexor reserves the right to move websites between servers as necessary.
- Vexor does not provide software troubleshooting (e.g., WordPress, OpenCart) unless it developed the website.
12. Backups
- Clients are responsible for maintaining backups of their data.
- Vexor does not guarantee backup availability or integrity.
- Vexor will not be liable for any data loss.
13. Email and SPAM
- Vexor provides spam and virus filtering but is not responsible for lost messages.
- Clients are responsible for email client configurations.
- Vexor may inspect emails for compliance with spam and security policies.
14. Retention of Rights
- Vexor does not claim ownership over client data, but all server infrastructure remains its property.
15. Software Updates
- Vexor ensures its server operating systems are updated but does not update client-installed applications.
16. Affiliates
- Vexor reserves the right to approve, reject, or terminate affiliate accounts.
- Affiliate commission structures may be adjusted with a 30-day notice.
17. Complaints and Appeals
- Clients dissatisfied with service levels may submit a complaint via support@vexor.co.za.
18. Domain Expiry
- Vexor follows a domain expiry process according to the respective registrars.
- Renewal reminders are sent at 30, 14, 7, and 1 day before expiration.
19. Limitation of Liability and Indemnity
- Vexor is not liable for damages, loss, or claims related to service interruptions, data loss, or domain disputes.
- Clients indemnify Vexor from any third-party claims related to domain ownership, hosting, or service use.
- Vexor will not be liable for losses arising from third-party actions, disputes, or claims.
- If the Consumer Protection Act (CPA) of 2008 applies, any unfair provisions may be severed without affecting the remaining terms.
- Vexor will provide client information to registrars if required for domain registration purposes.
- Vexor limits its liability for service unavailability to the pro-rata monthly charge for the affected period.
- Vexor is not responsible if an external firewall blocks access to services.
- Clients indemnify Vexor against third-party claims arising from their use of Vexor’s services.
These terms form the complete agreement between Vexor and the client. Use of Vexor services constitutes agreement to these terms. For any inquiries, contact support@vexor.co.za
